STANDARD TERMS AND CONDITIONS OF SALE

1. General
These Standard Terms and Conditions of Sale (“Terms”) govern all projects, products, and services provided by Sandbox Collaborative Strategies, Ltd. (“Sandbox,” “we,” “our,” or “us”) to the client (“Client”). By placing an order, submitting payment, or otherwise engaging our services, the Client agrees to these Terms in full.
Any terms or conditions provided by the Client that differ from or conflict with these Terms shall be deemed waived unless expressly agreed to in writing by Sandbox.
2. Quotes and Orders
Written proposals, estimates, or quotes issued by Sandbox are valid for 30 days unless otherwise stated. Orders are considered confirmed once a signed agreement, digital acceptance, or payment (deposit or in full) has been received.
3. Payment Terms
Invoices are due within 21 calendar days of issuance unless otherwise stated on the invoice or agreement. Payment may be made by any method specified on the invoice.
• A 10% late fee may be applied to any overdue balance after the due date.
• Services may be paused or suspended if payment is not received within the stated terms.
• Accounts more than 60 days past due may be referred to a third-party collections agency, and the Client will be responsible for any associated recovery or legal fees.
All amounts are due in full, without deduction for taxes, fees, or withholdings imposed by the Client’s jurisdiction.
4. Deliverables and Timelines
Sandbox will perform services and deliver materials in accordance with agreed schedules and project scopes. While we strive to meet all deadlines, timelines are estimates and may be adjusted due to revisions, delays in Client feedback, or unforeseen circumstances.
Sandbox’s obligation is one of best effort, not guaranteed results.
5. Client Responsibilities
The Client agrees to provide timely access to information, materials, and feedback necessary for Sandbox to complete the project. Delays in providing materials or approvals may extend delivery timelines.
6. Revisions and Change Requests
Unless otherwise stated in the project scope, small revisions are included to ensure Client satisfaction. Additional revisions or changes beyond the agreed scope may be billed at Sandbox’s standard hourly rate.
7. Intellectual Property
All creative materials, graphics, copy, and digital assets produced by Sandbox remain the property of Sandbox until full payment has been received. Upon payment, ownership of final deliverables transfers to the Client, excluding any pre-existing intellectual property, stock materials, or proprietary frameworks used in production.
Sandbox retains the right to display completed work in portfolios, websites, and promotional materials.
8. Refunds and Cancellations
Deposits are non-refundable once work has begun. In the event of cancellation by the Client, the Client is responsible for payment for all work completed up to the cancellation date. If Sandbox cancels a project for any reason other than breach by the Client, a refund will be provided for unrendered services.
9. Limitation of Liability
Sandbox shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the deliverables or services. Sandbox’s total liability under any claim shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
10. Complaints or Claims
Any claim or dispute must be submitted in writing to Sandbox at its registered business address within 8 days of the delivery of goods or completion of services. Claims made after this period may not be accepted.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Douglas County, Colorado.
12. Acceptance
By purchasing from Sandbox Collaborative Strategies, Ltd., the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions of Sale.
